ICCR maintains a proprietary collaborative platform that extensively documents shareholder engagement actions on environmental, social and governance issues (“ShareEx”). ICCR members actively suggest examples of shareholder advocacy actions to include on ShareEx, which is not always public information. Access to ShareEx is personal to each member that is expressly given login credentials to ShareEx by ICCR, and may not be shared with third parties without express written permission from ICCR.
ICCR grants you a limited, non-exclusive, revocable license (the “License”) to use and access ShareEx and all information, services and resources contained therein, in accordance with the terms and conditions of your Membership Agreement, for the limited purposes of shareholder engagement and advocacy, includingbut not limited to measuring the impact of and assessing gaps in such advocacy and informing your investment decisions, all in furtherance of ICCR’s mission to build a more just and sustainable world by integrating social values into corporate and investor actions.
ShareEx is proprietary to ICCR. Access to ShareEx does not transfer ownership of ShareEx or its contents. You acknowledge that ShareEx and its contents are intended for use by ICCR members in furtherance of ICCR’s mission. You agrees not to disclose ShareEx’s contents or any information contained therein to the public or external third parties, except for the limited purposes of shareholder engagement and advocacy.
The License does not include the right to sell or make commercial use of ShareEx or its contents, or to make any derivative use of ShareEx or its contents. You shall not download or copy ShareEx or its contents for the benefi t of a third party, or use any data mining, robots, spiders, scrapers, or other data gatheringand extraction tools to access, download, or copy ShareEx or its contents. You shall not use, redistribute or transfer content contained in ShareEx for any commercial purpose, including but not limited to the republication or sale of information, services, or resources contained therein. For the purposes of this Agreement, “commercial purpose” does not include informing investment decisions or making investments.
You agree not to use ShareEx in any manner that could damage, disable, overburden, or impair ShareEx or ICCR’s platform, computer systems or networks.
You shall not use ShareEx or its contents for any purpose that is unlawful or prohibited by this Membership Agreement.
You agree that any use of ShareEx or its contents in violation of the License, its terms and conditions, the Membership Agreement, or the norms and mission of ICCR, constitutes a breach of the Membership Agreement and is grounds for termination of membership.
Except where expressly provided otherwise, ShareEx, and all content provided on or through ShareEx and/or through hyperlinks found through theExchange, are provided on an “as is” and “as available” basis. ICCR expressly disclaims all warranties or representation of any kind, whether express or implied, includingbut not limited to, the implied warranties of merchantability, fi tness for a particular purpose and non-infringement with respect to the site and all content provided on or through ShareEx. ICCR makes no warranty that: (a) ShareEx will be available on an uninterrupted, secure, error-free basis or that defects on and to ShareEx will be corrected, (b) ShareEx or content will meet your requirements or expectations; (c) the results that may be obtained from the use of ShareEx or any content provided on or through ShareEx will be accurate or reliable. ShareEx could contain typographical errors, technical inaccuraciesor other incorrect information. Any content accessed, downloaded or otherwise obtained on or through the use of ShareEx is used at your own discretion and risk.
In no event shall ICCR nor its subsidiaries, affi liates, vendors, licensors and/or other third parties mentioned on ShareEx be liable for any direct, indirect, incidental,special, exemplary, punitive, consequential or other damages, or damages for business interruption, loss of profi ts, revenue, data or data use, incurred by you or anythird party, or any other intangible losses, whether in an action in contract or tort, arising from your access to, or use of, ShareEx or any content provided on or through ShareEx or related services, content or information contained within ShareEx, and/or any hyperlinked website. This limitation applies (a) whetherthe alleged claims or damages are based on warranty, contract, tort, or any other legal theory and (b) regardless of whether or not ICCR has been advised of thepossibility of such damages.
