<p><strong>RESOLVED</strong>: Shareholders request that the board of directors take the necessary steps to permit written consent by the shareholders entitled to cast the minimum number of votes that would be necessary to authorize an action at a meeting at which all shareholders entitled to vote thereon were present and voting (without any unnecessary restriction based on length of stock ownership or the method by which shareholders hold their shares). This includes shareholder ability to initiate any appropriate topic for written consent.</p>
<p><strong>SUPPORTING STATEMENT</strong>:</p>
<p dir=”ltr”>Shareholders acting by written consent and calling for a special shareholder meeting are 2 means that shareholders of a company can use to put forth a proposal on a timely basis without waiting for the annual shareholder meeting.&nbsp;</p>
<p dir=”ltr”>This proposal topic won 42% shareholder support at an earlier HON annual meeting without any special effort by the proponent. Meanwhile HON made a special effort to keep the vote from exceeding 50%.&nbsp;&nbsp;</p>
<p dir=”ltr”>Acting by written consent is hardly ever used by shareholders but the main point of having a right to act by written consent is that it gives shareholders greater standing to engage effectively with management when Honeywell International (HON) underperforms.&nbsp;</p>
<p dir=”ltr”>The following challenging 2025 news reports on HON make it more important to adopt this proposal without delay:</p>
<p dir=”ltr”>A Bank of America analyst issued a rare double downgrade on Honeywell’s stock from “Buy” to “Sell,” citing limited 2026 earnings growth and weak trading performance of the newly spun-off Solstice Advanced Materials (November 2025).<br><br>Honeywell’s shares faced rough waters, dropping significantly throughout 2025 and sitting nearly 15% below where they started the year as of mid-November, lagging behind its peers.</p>
<p dir=”ltr”>Morningstar DBRS and Fitch Ratings placed Honeywell’s credit ratings on “Under Review with Negative Implications” or “Rating Watch Negative” following the announcement of its plan to separate the Aerospace and Automation businesses. This reflected uncertainty regarding the company’s future capital structure, financial policy, and debt levels after the spin-offs (February 2025).&nbsp;<br><br>In Q3 2025, the Energy and Sustainability Solutions segment was the company’s worst performer, with a 2% organic sales decline, primarily due to challenges and a 13% sales fall in its Honeywell UOP unit. The Industrial Automation segment also faced cost inflation crimping margins and expected low single-digit losses for the full year 2025.<br><br>HON reported significant liabilities, including $1.3 billion in net asbestos liabilities and $747 million in environmental liabilities, prompting a liability management reorganization proposal to manage these legacy issues (March 31, 2025).</p>

Whereas: Environmental racism is a systemic risk that exacerbates the climate crisis and racial inequities.[1] Failure to adequately assess, mitigate, and remediate impacts on communities often results in litigation, project delays, and significant fines. For instance, Honeywell has reportedly incurred over $443 million in fines since 2000, the majority of which are related to environmental offenses.[2] A 2022 report found that 46% of Honeywell’s water pollution is located in environmental justice communities.[3] Recent controversies include: 

$2 million in cleanup costs in 2022 related to lead- and arsenic-contaminated soil in South Bend, Indiana. Residents allege Honeywell has contributed to environmental racism that has “destroyed the quality of life for many, many families generationally”;[4] 
A $65 million settlement against Honeywell and peers in 2022 for contaminating New York’s water supply with PFOA, a long-lasting chemical associated with developmental and reproductive issues, cancer, and immunological effects;[5]
A 2022 lawsuit in Georgia alleging insufficient cleanup for PCB contamination affecting a majority-Black community that houses multiple hazardous sites. This is in addition to an $18 million settlement in 2006 and a $4 million settlement in 2020 for the same site;[6]    
Allegations from a watchdog in October 2023 that Honeywell failed to disclose “super-pollutant” emissions to the EIA in an environmental justice community where air toxics cancer risk is in the 95th percentile nationally;[7] and 
A 2020 New Jersey lawsuit alleging Honeywell knowingly polluted the environment with PCBs, a probable human carcinogen.[8] The community surrounding the Superfund site is qualified as an “overburdened community” under the New Jersey Environmental Justice Law.[9]

Additionally, fenceline communities have criticized Honeywell for lack of effective community consultation surrounding pollution incidents, and for insufficient cleanup.[10] A legacy Honeywell pollution coke smoke stack in Tonawanda, NY is linked to decades of health impacts, including elevated cancer risks, cardiopulmonary disease, and birth defects.[11] Community members allege they have not been adequately consulted in cleanup efforts, and Honeywell is lobbying to reclassify the site, which may result in less comprehensive remediations.[12] 

Honeywell faces increasing regulatory risk as the Biden administration has made unprecedented commitments around environmental justice,[13] and numerous states where Honeywell operates have adopted environmental justice legislation.[14]An audit would help Honeywell avoid adverse impacts on environmental justice communities while reducing reputational risk and liabilities.

BE IT RESOLVED: Shareholders request that Honeywell International Inc. (“Honeywell”) report to shareholders on the effectiveness of the Company’s diversity, equity, and inclusion efforts. The report should be done at reasonable expense, exclude proprietary information, and provide transparency on outcomes, using quantitative metrics, for hiring, retention, and promotion of employees, including data by gender, race, and ethnicity.

SUPPORTING STATEMENT:  Quantitative data is sought so that investors can assess and compare the effectiveness of companies’ diversity, equity, and inclusion programs.

WHEREAS:  Honeywell has not shared quantitative hiring, retention, and promotion data to allow investors to determine the effectiveness of its human capital management programs.  

Between September 2020 and September 2022, S&P 100 companies increased their release of hiring rate data by gender, race, and ethnicity by 298 percent; retention rate data by 481 percent; and promotion rate data by 300 percent.[1] Companies that release, or have committed to release, more inclusion data than Honeywell include Union Pacific, Boeing, Norfolk Southern, and Northrop Grumman.

Numerous studies have pointed to the benefits of a diverse workforce. Their findings include:

There is a positive association between diversity in management and cash flow, net profit, revenue, and return on equity.[2]
Companies in the top quartile for gender diversity are 21 percent more likely to outperform on profitability.[3]
The 20 most diverse companies had an average annual five-year stock return that was 5.8 percentage points higher than the 20 least diverse companies.[4]

Similar to how an income statement pairs with a balance sheet, hiring, promotion, and retention rate data show how well a company manages its workforce diversity. Without this data, investors are unable to assess a company’s human capital management program.

Companies should look to hire the best talent. However, Black and Latino applicants face hiring challenges. Results of a meta-analysis of 24 field experiments found that, with identical resumes, White applicants received an average of 36 percent more callbacks than Black applicants and 24 percent more callbacks than Latino applicants.”[5]

Promotion rates show how well diverse talent is nurtured at a company. Unfortunately, women and employees of color experience “a broken rung” in their careers; for every 100 men who are promoted, only 86 women are. Women of color are particularly impacted, comprising 17 percent of the entry-level workforce and only four percent of executives.[6]

Retention rates show whether employees choose to remain at a company. Morgan Stanley has found that employee retention above industry average can indicate a competitive advantage and higher levels of future profitability.[7] Companies with high employee satisfaction have also been linked to annualized outperformance of over two percent.[8]

Investors have reason to be concerned as Honeywell has faced allegations of race, age, and gender discrimination.

Resolved: Shareholders request Honeywell International Inc. issue a report on environmental justice, updated annually, describing its efforts, above and beyond legal and regulatory matters, to identify and reduce heightened environmental and health impacts from its operations on communities of color and low-income communities. The report should be prepared at a reasonable cost and omit confidential or legally privileged information, including litigation strategy, and should be published on Honeywell’s website. Such a report should consider, at a minimum:

Past, present, and future disparate environmental and health impacts from its operations;
How responsibilities are allocated within the company regarding governance and management of environmental justice issues;
Quantitative and qualitative metrics on how environmental justice impacts inform business decisions; and
Whether and how Honeywell intends to improve its policies and practices in the future.
